TERMS OF SERVICE
These terms of service apply between Footway OaaS AB and users of services within Footway OaaS.
General
The User gains access to Footway OaaS by connecting to the service. Application for this is done via the Portal. Once Footway has approved the application, the User has joined Footway and can use the service. The terms apply from the day the User commences use of the services. The terms may be adjusted continuously, and a new version of the terms takes effect 14 days after it is published on the Portal.
Validity of the Agreement
Following connection to Footway OaaS, the agreement regarding this service, including terms applicable from time to time, remains in effect until further notice. The notice period is 14 days. Footway may terminate the agreement with immediate effect and suspend the provision of Footway OaaS if Footway reasonably assesses that the User's operations are illegal, or could damage Footway, other Users, or End Customers.
Upon termination of the agreement, the User's rights under these terms cease. However, the User remains responsible for all fees and/or breaches of contract incurred or occurring up to and including termination, and in accordance with the terms for Products returned by End Customers after the termination of the agreement.

Footway OaaS – Services
Storage
Description: The service includes goods reception, unpacking, reconciliation against Delivery Confirmation, storage in pallet and picking warehouses, transfer from pallet to picking warehouse, inventory management, and reports regarding inventory levels.
Price: Charged based on the number of stored Products, their Chargeable weight, and the number of days the Products are stored (including the day of inbound and outbound delivery).
Inbound delivery: Before Products are sent to Footway, the User shall apply for inbound delivery through a Delivery Notice via the Portal.
Responsibility for delivery: The User is responsible for all costs of shipping their Products to Footway's warehouse (freight, insurance, customs, taxes, etc.).
Outbound delivery: The User may at any time request that its stored Products be returned, at the User's expense.
Recycling: The User may request that Footway recycles Products. Ownership then transfers to Footway at no cost.
Multi Sales Channel
Description: MSC enables a Storing User's products to be sold simultaneously via Selling Users. All inventory movements and sales are registered in real-time in the Portal.
Process Overview:
- Storing User registers products and inventory in the Portal
- Selling User sells the product to the end customer
- Upon completed sale: Storing User sells to Footway, Footway sells to Selling User
- A potential return reverses the process
Order
Description: The service includes customer support (email and telephone), transaction emails, customer portal for order management, picking and packing, packaging material, arrangement of shipping, and last-mile delivery.
Process Overview:
- The User integrates their store with Footway's API
- The User links to Footway's customer terms
- Order is created via API or manually
- Footway handles the Order and customer support
- The User receives continuous data related to orders
Costs: Charged based on the number of delivered Products, their Chargeable weight, destination country, and delivery type.
General Terms and Conditions
Liability

| Unsuitable goods | The User guarantees that Products are not illegal, counterfeit, flammable, or contain hazardous materials |
| Ownership | The User warrants its legal right to the Products. Footway holds a right of lien as security |
| Limitation | Damages are limited to 0.2% of the annual total value of incoming and outgoing goods |
Insurance
The User shall maintain insurance for potential damage to all Products handled by Footway.
Disclaimer of Warranties
The services are delivered to the best of our ability. Footway does not guarantee that the services will be uninterrupted or error-free.
Liability for Property Damage
Footway's liability requires negligence. Liability is limited to the lower of the User's invoice value or SEK 3,000.
Fees and Payments
Price List: Footway applies a standardized pricing model. Prices are stated in the published price list applicable at any given time. All prices are stated in SEK excl. VAT.
Payment Terms: Invoicing occurs weekly. Payment shall be made no later than 15 days after the invoice date. In the event of late payment, penalty interest will be charged.
Other Terms
Customer Data: The User shall ensure that the End Customer accepts Footway's customer terms in the Portal.
Force Majeure: Footway is not responsible for delays caused by circumstances beyond reasonable control.
GDPR: Each party shall obtain consent for the handling of personal data.
Severability: If any part of these terms is deemed invalid, the remaining parts shall remain valid.
Dispute: Disputes shall be resolved by arbitration via the SCC Arbitration Institute. The seat shall be Stockholm.
Product Data: Footway owns all product data that the User is granted access to.
Service Licenses: Footway grants the User a limited license to use the services.
